1. Purpose
These Terms of Service (the "Terms") govern the contractual relationship between Girlden LTD, a company incorporated under English law trading as Gild-Tech (the "Provider"), and any professional (the "Client") subscribing to the Sarah service.
2. Description of the service
Sarah is an assistant that replies to the people who have contacted the Client's agency, on the Client's messaging channels, qualifies them, books a viewing or hands the enquiry over according to the Client's process.
The service is inbound only: Sarah replies to the people who wrote to the agency. She never contacts people who have not reached out, sends no cold messages and does no outbound prospecting.
Sarah does not replace the Client's team or software. She sits on top of the tools the Client already uses. The Client stays in control at all times: they can switch her on, switch her off, adjust the service or take over a conversation.
3. Plans and pricing
The service is provided in three plans, as a monthly subscription or as an annual plan.
- RESPOND: £290 per month. Setup fee: £490.
- CONVERT: £490 per month. Setup fee: £990.
- DOMINATE: £790 per month. Setup fee: £1,490.
- Currency: pound sterling (GBP) for all countries (United Kingdom, Belgium, Koh Samui in Thailand). Billing is in the currency shown at subscription.
- Setup fee: paid once, on ordering. It pays for the configuration of the service described in clause 5.
- Annual plan: twelve months of subscription paid in one payment, on ordering, at the price of ten months, setup free, with no tacit renewal. Amounts: RESPOND £2,900, CONVERT £4,900, DOMINATE £7,900.
- Promotion on CONVERT (monthly subscription): £290 per month for the first 2 months, then £490 per month.
- Included volume: up to 100 buyers a month with RESPOND, 200 with CONVERT, 400 with DOMINATE. Beyond that: £1 per extra buyer. A buyer is a person who wrote to Sarah during the month.
- WhatsApp messages: the fees charged by Meta for WhatsApp messages are included in the subscription.
- Price locked for 24 months: the monthly price of the plan subscribed to stays unchanged for twenty-four months from subscription.
- Prices are exclusive of any applicable taxes.
4. Subscription and payment
Subscribing to a plan constitutes full acceptance of these Terms. Payment is made by card via Stripe or any other means agreed at subscription: the setup fee on ordering, then the subscription monthly in advance; the annual plan in one payment, on ordering.
5. Onboarding
The Provider configures the service from the information supplied by the Client: their way of replying, their qualification questions, their hours, and the rules for handing enquiries over. Configuration starts on receipt of the required access and of the payment set out in clause 4.
The go-live date is agreed at signature. It depends on the Client supplying the information requested; the Provider undertakes to act diligently upon receipt of it.
6. 30-day money-back guarantee
The Client may request a full refund of their first month of subscription within 30 days of onboarding, without having to give a reason.
This is a satisfaction guarantee. It is not subject to any condition of result, performance or commercial outcome.
7. Term and cancellation
The monthly subscription has no minimum commitment. The Client may cancel at any time, at no cost and with no penalty. Cancellation takes effect at the end of the current monthly period; no month beyond that is due.
The annual plan covers twelve months of subscription. It ends at the end of those twelve months, with no tacit renewal.
The 24-month price lock is a guarantee given to the Client on price; it is not a commitment of duration on the Client's part.
8. Personal data
The Client remains the data controller for the personal data of their contacts. The Provider acts as a processor, on the Client's instructions, under a data processing agreement.
The Client's data belongs to the Client. It is exportable at any time in a readable format. At the end of the contractual relationship, the Client leaves with their data. Processing is detailed in the Privacy Policy.
9. Client obligations
- Provide the information and access needed for onboarding
- Read and approve the template replies before they go live
- Pay the subscription according to the agreed terms
10. Intellectual property
The Provider retains ownership of its methods, know-how and generic tools. The Client's own content (listings, tone, replies, data) remains the Client's property.
11. Liability
The Provider is bound by an obligation of means in providing the service. The Provider's liability is limited to the amount actually paid by the Client for the last twelve months of subscription.
12. Confidentiality
Each party undertakes to keep confidential the information exchanged in the course of the contractual relationship, for its whole duration and for a period of 3 years after it ends.
13. Governing law and jurisdiction
These Terms are governed by English law. Any dispute relating to their interpretation or performance falls within the exclusive jurisdiction of the courts of England and Wales, subject to the mandatory provisions applicable to the Client in their own country.
